Secur3D Content Moderation & Authentication Terms of Service

1. Acceptance of Terms 

By accessing the Secur3D (the “Company”) site and using our 3D content moderation and authentication software (the “Service”), you (the “User”)  acknowledge having read, understood, and accepted all of the terms. Continued use signifies ongoing agreement to these terms.The Company reserves the right to modify, at any time, the layout and configuration of the site, the Service, as well as the terms.

2. Service Description and Limitations

a. Description: The Service offers preliminary testing to review and moderate 3D content intended for submission or sale on online marketplaces.  

b. Pre-Release Notice: The Service is pre-release alpha software, meaning software, online services, and additional products and features that are provided for preview, evaluation, demonstration, or trial purpose and are not fully tested, and might have bugs or issues. Relying on or using the Service is at your own risk.

c. Limitations: Due to its pre-alpha status, unforeseen disruptions or errors might occur. The Company makes no warranties about its uptime, availability, or full functionality.

3. User Responsibilities and Content

a. Ownership: Users must ensure they have the right to submit 3D content to the Service without violating laws or including malware.  

b. Indemnification: Users shall indemnify the Company against claims arising from content submitted.  

c. User Generated Content and Intellectual Property: While users retain intellectual property rights in the 3D content submitted, by submitting, the Company gains a temporary license to use it for moderation and service improvement.

4. SDK License

Secur3D grants a limited, revocable license for the SDK, associated documentation, and sample code, to create APIs solely for agreed-upon business purposes.

5. Data Usage, Privacy, and Security 

a. Data Collection and Use: The Company collects non-personal and personal data about events related to interactions and feedback. These events and usage information will assist the Company in analyzing and measuring performance and features to improve the Service and may share it for development purposes, but always in compliance with privacy laws.  

b. Data Retention: 3D content is kept only as necessary for the Service to complete the moderation and authentication process, while personal data (like contact information) is stored securely, but given the software’s status, absolute security can’t be guaranteed.  

c. Privacy Policy: Users are encouraged to review our detailed Privacy Policy for a comprehensive understanding.

6. Feedback 

Users can provide feedback to assist in improving and optimizing the Service, which the Company can use freely without crediting or compensating Users.

7. Reverse Engineering and Compliance 

Users must not reverse engineer the Service. Breach of this clause can lead to termination and legal action. The Company reserves the right to audit for compliance.

8. Third-Party Technology

The Service may integrate third-party technology, which is licensed accordingly. Users are bound to respect these licenses.

9. Disclaimer of Warranties 

The Service is provided “as is” without warranties, either express or implied, and may contain errors or inaccuracies that could cause failures, corruption and/or loss of data or information.  Users understand the risks and implications of using an alpha software.

10. Limitation of Liability 

The Company and its affiliates, employees, agents, or contractors shall not be liable for damages out of or in connection with the use of the Service, whether direct or indirect, as detailed in this section.

11. Modifications

The Company can modify these terms, notifying Users of major changes. Continued use post-update implies agreement.

12. Termination  

a. By the Company: The Company can suspend or terminate access if Users violate terms or harm others.  

b. By the User: Users can terminate their access, with processes detailed herein.

13. Governing Law and Dispute Resolution  

a. Jurisdiction: Governed by British Columbia, Canada laws.  

b. Arbitration: Disputes should be resolved through binding arbitration in British Columbia.

14. Miscellaneous

a. Force Majeure: The Company isn’t liable for events beyond its control.  

b. Assignment: The Company can assign rights, but Users cannot without consent.  

c. Entire Agreement: These terms represent the entire agreement between the parties.  

d. No Waiver: Non-enforcement of a right isn’t a waiver of that right.  

e. Severability: If any term is invalid, others remain effective.  

f. Relationship: No partnership, employment, or agency relationship is created through this agreement.
